These Terms and Conditions apply to any use of the Marketsniffr platform, the website www.marketsniffr.com and all related applications and services (hereinafter collectively referred to as the "Platform").
The Platform is offered by Stedra BV, with registered office at Groenstraat 86, B-1740 Ternat, registered in the Crossroads Bank for Enterprises under number BE0884911501, hereinafter referred to as "Marketsniffr".
By accessing the Platform, creating an account or using the services, the user declares to have read, understood and accepted these Terms and Conditions without reservation. If the user does not agree with these Terms and Conditions, they must immediately stop using the Platform.
These Terms and Conditions apply exclusively to professional users (B2B).
Marketsniffr reserves the right to amend these Terms and Conditions at any time. Amended terms become effective upon publication on the Platform.
By continuing to use the Platform after an amendment, the user is deemed to have accepted the amended terms.
Marketsniffr is a software-as-a-service (SaaS) platform that provides companies with insights into financial, market and competitive information, benchmarking, analyses, scores and visualizations.
The information provided via the Platform is based on publicly available data, external data sources and proprietary models, including statistical, mathematical and AI-driven methods. This information always constitutes a snapshot and is indicative in nature.
The information, analyses and output made available via the Platform do not constitute legal, financial, tax, investment, marketing or strategic advice. Marketsniffr does not guarantee that the information provided is complete, accurate or current and cannot be held liable for decisions made by the user or third parties based on this information.
Access to and use of the Platform is strictly limited to the user's internal professional purposes.
It is not permitted to systematically access, reuse, distribute, commercialize or resell the Platform or information obtained via the Platform, nor to use it as a data source for own products or services.
The use of software, scripts, bots or other automated systems to collect, scrape, crawl or harvest data from the Platform is expressly prohibited. The Platform may also not be used for training, validation, refinement or testing of AI models or other automated systems.
The availability of functionalities, the number of projects, analyses, dashboards and permitted storage capacity depend on the subscription chosen by the user, as described on the Platform or in the accompanying documentation.
Marketsniffr reserves the right to modify the composition, limits and functionalities of its subscriptions.
If the user changes their subscription to a plan with lower usage limits, the user is themselves responsible for reducing the number of projects, data and data volume so that they fall within the limits of the new subscription. If these limits are exceeded, Marketsniffr may limit functionalities, make projects or data inaccessible or delete them, without any liability and without obligation to restore.
If a free version or trial period is offered, this is limited in functionality and storage capacity. Storing projects or data in a free version is not possible if no storage space is provided for this purpose. When switching to a free version, projects and data may be deleted in whole or in part.
Marketsniffr reserves the right to suspend or terminate access to the Platform in whole or in part, without prior notice, if the user violates these Terms and Conditions, abuses the Platform, fails to meet payment obligations or uses the Platform in a manner that compromises its proper operation, security or integrity.
A suspension or termination of access does not entitle to any compensation.
The user may cancel their subscription at any time via the Platform or in writing.
Whether cancellation or termination, this always takes effect at the end of the current billing period.
Amounts already paid are not refunded under any circumstances, regardless of the time or reason for cancellation or termination. No pro rata refunds are granted.
Within the limits of their subscription, the user may use export functionalities to download data, projects and analyses. The user is fully responsible for timely exporting, storing and securing their data.
Marketsniffr is not an archiving or backup system and has no obligation to retain user data. Marketsniffr cannot be held liable for loss, damage or deletion of data, regardless of the cause.
After termination of the subscription, the user may export their data for a limited period. After this period, Marketsniffr reserves the right to permanently delete all data, without any obligation to restore or retain.
The user remains themselves responsible for compliance with legal retention periods and internal compliance obligations regarding their data.
The user acknowledges and accepts that Marketsniffr may use anonymized and non-traceable data for statistical purposes, analysis, improvement of the Platform and optimization of models, algorithms and performance.
This data contains no personal data and cannot be traced back to an individual user or company in any way.
All intellectual property rights relating to the Platform, software, databases, models, scores, visualizations and content remain the exclusive property of Marketsniffr or its licensors.
Nothing in these Terms and Conditions can be interpreted as a transfer of intellectual property rights to the user.
The Platform is offered in the state in which it is ("as is" and "as available"). Marketsniffr does not guarantee uninterrupted or error-free availability of the Platform.
Marketsniffr depends on internet connections, hosting services and third-party services and cannot be held liable in this respect.
Marketsniffr is in no event liable for indirect, incidental, consequential or intangible damages arising from the use or inability to use the Platform, including but not limited to loss of revenue, profits, data or business opportunities.
Marketsniffr's total liability is limited to the amount paid by the user in the 12 months preceding the event giving rise to liability.
Marketsniffr cannot be held liable in case of non-performance or late performance of its obligations due to circumstances beyond its control, such as natural disasters, network failures, cyber attacks or failures of third-party providers.
These Terms and Conditions are governed by Belgian law.
Any dispute relating to the interpretation or execution of these Terms and Conditions falls under the exclusive jurisdiction of the courts of the judicial district of Brussels.
If any provision of these Terms and Conditions is deemed invalid or unenforceable, the other provisions remain fully in force.
Marketsniffr's failure to exercise a right provided by these Terms and Conditions does not constitute a waiver of that right.
